ACCEPTANCE OF THE TERMS
These Terms of Use (the “Terms”) form a binding and enforceable legal contract between Needshub.ng Online Marketplace Nigeria Limited and its affiliated companies (collectively referred to as the “Administrator,” “we,” or “us”) and you. Please read these Terms carefully.
By accessing or using the Needshub.ng website, mobile applications, and related services, content, and data (collectively, the “Service” or the “Platform”), you agree to be bound by these Terms. If you do not agree to any part of these Terms or are ineligible to accept them, please refrain from using the Service.
We also recommend reviewing our Privacy Policy. The terms outlined in the Privacy Policy, along with any supplemental terms, rules, policies, or documents that may be posted on the Platform from time to time, are hereby incorporated into these Terms by reference. We reserve the right to modify or amend these Terms at any time, with or without notice, at our sole discretion.

ALL SERVICES PROVIDED BY THE ADMINISTRATOR ARE OFFERED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." THE ADMINISTRATOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES REGARDING CONDITION, QUALITY, PERFORMANCE, ACCURACY, RELIABILITY, COMMERCIAL VALUE, OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES AND LIABILITIES ARE EXPRESSLY DISCLAIMED.
THE ADMINISTRATOR HAS NO CONTROL OVER, AND DOES NOT GUARANTEE, THE EXISTENCE, QUALITY, SAFETY, OR LEGALITY OF GOODS AND SERVICES PUBLISHED BY USERS ON THE PLATFORM, OR THE TRUSTWORTHINESS OF INFORMATION PROVIDED IN ANNOUNCEMENTS. THE ADMINISTRATOR DOES NOT WARRANT THAT SELLERS CAN SELL GOODS OR PROVIDE SERVICES, NOR THAT BUYERS CAN PAY FOR THEM. THE ADMINISTRATOR MAKES NO REPRESENTATIONS REGARDING THE LEGALITY OF PRODUCTS OR SERVICES OFFERED ON THE PLATFORM, AND EXPRESSLY DISCLAIMS ANY LIABILITY RELATED TO MATERIALS OR INFORMATION POSTED BY USERS.
YOU ARE ADVISED TO VERIFY GOODS BEFORE MAKING PAYMENTS AND TO REQUEST DOCUMENTS THAT VERIFY COMPLIANCE WITH APPLICABLE LAWS, REGULATIONS, AND STANDARDS FROM SELLERS.
YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR SAFETY WHEN ENGAGING WITH OTHER USERS, AND YOU SHOULD MEET THEM ONLY IN PUBLIC PLACES DURING DAYLIGHT HOURS. THE ADMINISTRATOR DISCLAIMS ANY RESPONSIBILITY FOR INTERACTIONS BETWEEN USERS.
ACCOUNT REGISTRATION
To access certain features of the Service, you may be required to create an account (the “Account”) on the Platform and provide specific personal information.
You may register as an individual or an authorized representative of a company. You are allowed to create only one Account, and if multiple users access the Platform from the same device, we may request identity verification to prevent duplicate accounts.
You are responsible for safeguarding the confidentiality of your Account credentials and are liable for any activities performed under your Account. By using the Service, you represent that you have reached the age of majority or are accessing the Service under the supervision of a parent or legal guardian. Minors must have their parent or guardian agree to these Terms before accessing the Service.
We reserve the right to suspend or terminate your Account, with or without notice, if you violate these Terms. You agree to notify us immediately of any unauthorized use of your Account or any security breach.
SERVICE
The Platform allows users to create and publish announcements, view announcements, and communicate with other users. The Administrator does not act as an importer, manufacturer, distributor, or seller of any items posted on the Platform, nor does it provide any services listed by users. Transactions between users are independent, and the Administrator is not a party to these contracts.
Users are solely responsible for collecting and remitting any applicable taxes for the sale of their goods or services. The Administrator reserves the right to remove or block user announcements at its discretion, without notice, in cases such as legal mandates or claims of intellectual property infringement.
The Administrator may make changes to the Service, including both free and paid features, at any time and without notice. We are not responsible for any disruption or deletion of content or services.
User interactions are solely between you and other users. We do not control user-generated content and do not guarantee its accuracy, quality, or suitability. Links to third-party websites, services, and advertisements (collectively, "Third Party Ads") are not endorsed or controlled by the Administrator, and you assume all risks associated with interacting with such third-party content.
POSTING ANNOUNCEMENTS
Users may be required to provide documentation verifying the legitimacy of announcements or their identity upon request from the Administrator. Announcements must contain accurate and complete information about the goods or services being offered, including reachable phone numbers.
Prices should be clearly stated, and any conditional price changes should be explicitly mentioned in the announcement.
FEES
While the Platform is generally free, some services may require payment. We may limit the number of free postings in certain categories or offer paid advertising options.
We reserve the right to modify fees and payment methods at our discretion. All payments are non-refundable unless otherwise stated by law. Payments for services are governed by our Billing Policy.
USER REPRESENTATIONS AND WARRANTIES
By using the Service, you represent and warrant that:
You have the legal capacity to comply with these Terms.
- If you register on behalf of a company, you are authorized to act on behalf of the company.
- You are above the age of 18.
- The information in your Account is accurate, and you will maintain its accuracy.
- You will not engage in any unlawful activity or violate the rights of others, including intellectual property rights.
You agree not to post any announcements offering prohibited items, misleading information, or inappropriate content, as detailed in these Terms.
INDEMNITY
You agree to indemnify the Administrator and its affiliates from any claims, demands, or damages arising out of your use of the Platform, your posted content, or your violation of these Terms.
LIMITATION OF LIABILITY
The Administrator and its affiliates will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Your total liability to us for any claims related to the Service is limited to the lesser of the amount paid by you in the six months prior to the claim or NGN37,000.
INTELLECTUAL PROPERTY RIGHTS
You retain ownership of the content you post on the Platform. However, you grant the Administrator a non-exclusive, worldwide, irrevocable license to use, copy, and display your content for purposes related to the Service.
Any materials posted on the Platform, including trademarks and copyrighted content, belong to the Administrator or are licensed for use. Unauthorized use of such materials is prohibited.
GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the Republic of Nigeria. Any disputes will be resolved by arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.
MISCELLANEOUS PROVISIONS
If any provision of these Terms is deemed invalid, the remaining provisions will remain in effect. We may assign our rights and obligations under these Terms without notice. We are not liable for failures to comply with these Terms due to circumstances beyond our control.

Billing Policy
- You may use membership services provided by the Administrator to promote your listings and attract more users.
- The Administrator offers membership services such as Boost Plans and Top Ads Promo packages. A Promote Ads Plan elevates your listings above free listings and displays them prominently across various pages, sections, or regions. Top Ads are placed in a dedicated section above regular listings. Detailed information on the duration, pricing, payment methods, and other conditions for membership services can be found at: Needshub.com
- To order membership services, visit Needshub.com or select your preferred membership option while creating a listing. On the mobile app, visit the “Membership Services” section in your profile or choose a service when creating a listing.
- When ordering membership services, you can choose a suitable payment method. If you select card payment, bank transfer, or eWallet, you will be redirected to a secure checkout page via the payment processor. The Administrator will only receive payment-related information. If paying by cash, you will be provided with payment details to complete the transaction at a nearby bank.
- The Administrator reserves the right to modify membership service features, fees, and acceptable payment methods at its sole discretion.
- Unless otherwise required by applicable law, fees paid for membership services are non-refundable due to the nature of the online services. You acknowledge that no prorated refunds will be provided if your listing is removed due to a violation of the Terms of Use or if you deactivate the listing yourself.
- The Ads Promo package has validity period from the purchase date (the "Service Validity Period"). If you fail to use the package within this period, you will lose the right to use it and will not be entitled to a refund, compensation, or replacement.
- Membership services are not subscription-based and must be manually renewed each time you wish to extend their validity.
- The Administrator does not guarantee specific results from membership services and is not responsible if they do not meet your expectations.
Credits
- You can purchase Credits on the Platform to pay for membership services, where 1 Credit equals 1 Nigerian Naira.
- Credits must be used within 12 months from the date of purchase (the "Credits Validity Period"). If you fail to use them within this period, they will expire, and you will not be entitled to a refund, compensation, or replacement.
- You acknowledge that purchased Credits have no cash value and do not represent actual currency or property. Credits cannot be sold, transferred, traded, or exchanged for cash, goods, or services from the Administrator or any third party.
- You are prohibited from buying or selling Credits or accounts for money or exchanging them for any other form of value except as established by the Administrator.
- All Credits may be forfeited if your account is suspended or terminated for any reason, including but not limited to:
- Your account has been inactive for one year;
- Violation of the Terms of Use or Privacy Policy;
- Suspected fraud or misuse of Credits or services;
- Suspected unlawful activity associated with your account;
- Actions taken to protect the service, users, or the Administrator's reputation. - No refund or compensation will be provided for unused Credits if your account is closed, whether voluntarily or involuntarily.
